Please read these Terms & Conditions ("Terms") carefully before using the BeMe application ("App") and its associated services (collectively, the "Service") operated by BeMe Ltd ("us," "we," or "our").
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.
1. THE BE ME SERVICE (Your AI Twin)
1.1. Description of Service: BeMe is an AI-driven digital platform designed to act as your personalized "AI Twin." The Service learns your unique communication style, preferences, and operational habits from your connected data (emails, calendars, calls, messages, documents, etc.) to assist you with communication management, scheduling, task coordination, and other professional and, if you choose, personal workflows.
1.2. Nature of AI: BeMe operates using advanced Artificial Intelligence. While BeMe strives for accuracy and operates based on your learned preferences, it is an AI and not a human. It processes information and takes actions based on algorithms and the data it learns from. BeMe is designed to continuously learn and adapt to your unique behavior over time.
1.3. Human Oversight and User Control: You retain ultimate control and responsibility for all actions taken through the Service. BeMe provides intuitive controls and toggles that allow you to manage the level of AI assistance and automation. For critical tasks (e.g., sending emails, placing orders, booking travel), BeMe will initially seek your explicit review and approval before execution. As BeMe proves its capability, you may have the option to enable full automation for specific routine tasks.
2. ACCOUNTS
2.1. When you create an account with us, you guarantee that you are above the age of 18 and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.
2.2. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
2.3. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
2.4. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar, or obscene.
3. SUBSCRIPTION & BILLING
3.1. BeMe is offered on a subscription basis. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
3.2. At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or BeMe Ltd cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting BeMe Ltd customer support team.
3.3. A valid payment method, including credit card or PayPal, is required to process the payment for your Subscription. You shall provide BeMe Ltd with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize BeMe Ltd to charge all Subscription fees incurred through your account to any such payment instruments.
3.4. Should automatic billing fail for any reason, BeMe Ltd will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
3.5. Free Trial: BeMe Ltd may, at its sole discretion, offer a Subscription with a free trial for a limited period or for a limited number of AI-powered actions/messages. You may be required to enter your billing information in order to sign up for the Free Trial. If you do enter your billing information, you will not be charged by BeMe Ltd until the Free Trial has expired or the Free Trial usage limit has been reached. On the last day of the Free Trial period, unless you cancel your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.
3.6. Fee Changes: BeMe Ltd, in its sole discretion and at any time, may modify Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. BeMe Ltd will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
4. DATA PRIVACY & SECURITY
4.1. Your Data, Your Control: BeMe's core value is built on trust. We are committed to processing your data for the sole purpose of providing and continuously improving your personalized BeMe Service.
4.2. No Data Resale: BeMe Ltd commits that your data (including personal data, communications, and learned preferences) will never be sold, leased, or shared with third parties for their direct marketing, advertising, or data brokerage purposes.
4.3. Data Collection & Use: We collect and process data (including emails, calendar entries, call transcripts, messages, documents, and usage patterns) only with your explicit consent and within the scope of data access you choose (e.g., "Work Data Only," "Work & Personal Data," or "All Data"). This data is used to: * Train BeMe's AI to learn your unique style, preferences, and operational habits. * Provide personalized features, proactive suggestions, and automated actions. * Improve the accuracy, efficiency, and functionality of the BeMe Service for you. * Provide self-evolving AI-driven support for the app.
4.4. Security Measures: We employ robust technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction. This includes encryption (at rest and in transit), strict access controls, regular security audits, and continuous monitoring.
4.5. Data Location: We strive to store and process your data in geographical regions consistent with your location or as required by law (e.g., EU data in EU data centers). For more details on data residency, please refer to our Privacy Policy.
4.6. Third-Party Processors: We utilize third-party cloud service providers and APIs (e.g., for compute, storage, databases, communications, and core AI models) to operate the Service. We ensure all such processors are bound by strict data processing agreements (DPAs) and comply with applicable data protection laws.
4.7. Your Privacy Rights: As a data subject under GDPR (General Data Protection Regulation) and other applicable data protection laws, you have specific rights concerning your personal data, including the right to access, rectify, erase, restrict processing, object to processing, and data portability. 5. INTELLECTUAL PROPERTY
5.1. The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of BeMe Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of both Isle of Man and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of BeMe Ltd.
5.2. By using the Service, you grant BeMe Ltd a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, translate, and distribute the content you upload, post, or display on or through the Service, solely for the purpose of operating, improving, and providing the BeMe Service to you.
6. LINKS TO OTHER WEBSITES
6.1. Our Service may contain links to third-party web sites or services that are not owned or controlled by BeMe Ltd.
6.2. BeMe Ltd has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.
6.3. You acknowledge and agree that BeMe Ltd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party web sites or services.
6.4. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
7. TERMINATION
7.1. We may terminate or suspend your account immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
7.2. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
7.3. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
8. INDEMNIFICATION
8.1. You agree to defend, indemnify and hold harmless BeMe Ltd and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.
9. LIMITATION OF LIABILITY
9.1. In no event shall BeMe Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
10. DISCLAIMER
10.1. Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
10.2. BeMe Ltd its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
10.3. AI Accuracy Disclaimer: While BeMe strives for high accuracy and personalization, we do not warrant that all AI-generated content (e.g., email drafts, scheduling suggestions, quotes) will always be 100% error-free or perfectly align with your intent without review. You are ultimately responsible for reviewing and approving all AI-generated content and actions, especially for critical business functions.
11. EXCLUSIONS
11.1. Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.
12. GOVERNING LAW
12.1. These Terms shall be governed and construed in accordance with the laws of Isle of Man, without regard to its conflict of law provisions.
12.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
13. CHANGES TO TERMS
13.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
13.2. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
